1. Acceptance of these terms
These Terms of Service ("Terms") govern your access to and use of Denta Dynamics's website and client portal (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are agreeing on behalf of a clinic, lab, or other organization, you confirm you have the authority to bind that organization.
2. The Service
Denta Dynamics provides digital services for dental professionals, including marketing, visual content production, and clinical digital design (such as Exocad design and implant planning), delivered through requests you submit via the client portal.
Service descriptions, timelines, and pricing shown on our website are indicative. Final scope, timeline, and price for custom-quote services are confirmed with you in writing (via the portal or email) before work begins.
3. Accounts
You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
4. Your content and case data
You retain ownership of the files, case data, and information you upload ('Your Content'). By uploading Your Content, you grant us a limited license to use it solely to deliver the service you requested.
You are solely responsible for ensuring you have the right to share Your Content with us, including any necessary patient consent for clinical case files, and for complying with applicable healthcare and data protection law in your jurisdiction (see our Privacy Policy, Section 4).
You agree not to upload content that is unlawful, infringes third-party rights, or that you are not authorized to share.
5. Deliverables and intellectual property
Upon full payment, you own the final deliverables produced specifically for your request (e.g. a finished design file, marketing asset, or video). We retain no rights to use your specific deliverables beyond what's needed for quality review, except as agreed with you (for example, as a portfolio example, only with your consent).
We retain ownership of our underlying tools, templates, and processes used to produce deliverables.
6. Payment
Fixed-price services are invoiced automatically when you submit a request; custom-quote services are invoiced once we've confirmed pricing with you. Invoices are payable via the methods enabled on your invoice (PayPal or bank transfer/Instapay).
Work on custom-quote services generally begins once payment (or an agreed deposit) is received, unless we've agreed otherwise in writing.
7. Revisions and refunds
Revisions and refund eligibility are governed by our separate Refund & Revisions Policy, which forms part of these Terms.
8. Service availability
Some services are currently available only in specific countries (shown on each service page). We may expand or restrict availability at any time.
We aim for high uptime but do not guarantee the Service will be uninterrupted or error-free.
9. Limitation of liability
To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the amount you paid us for the specific service giving rise to the claim in the preceding 3 months.
We are not liable for indirect, incidental, or consequential damages, including loss of profits or data, except where such exclusion is not permitted by applicable law.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death, personal injury caused by negligence, or fraud.
10. Termination
You may stop using the Service and close your account at any time by contacting us. We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or upload unlawful content.
Sections that by their nature should survive termination (including intellectual property, limitation of liability, and payment obligations for work already delivered) will survive.
11. Governing law
These Terms are governed by the laws of Egypt, without regard to conflict-of-law principles, unless a mandatory local consumer-protection law applicable to you provides otherwise. [To be confirmed with local counsel before launch, particularly for clients based in the UK, EU, or Gulf region.]
12. Changes to these terms
We may update these Terms from time to time. Continued use of the Service after an update constitutes acceptance of the revised Terms.
